Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the products and services operated by Affixly Inc. (“Affixly”, “we”, “us”, or “our”), including Affixly Flow, Affixly Surge, Affixly Forge, Affixly Sites, and this marketing website (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Services.
1. Accounts and Access
Creating an account. Some Services require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity that occurs under your account.
Credentials. Keep your credentials confidential. Notify us immediately at support@affixly.ai if you believe your account has been compromised. We are not liable for losses resulting from unauthorised access due to your failure to protect your credentials.
Workspaces. Flow, Surge, and Sites operate on a multi-tenant workspace model. Each workspace is isolated from others. You are responsible for managing access to your workspace, including inviting or removing team members.
2. Use of the Services
Permitted use. You may use the Services for your internal business purposes in accordance with these Terms and any applicable documentation.
Acceptable use. You agree not to:
- Use the Services to violate any applicable law or regulation.
- Upload or process content that you do not have the right to use.
- Attempt to gain unauthorised access to any part of the Services or to other users’ workspaces.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Use the Services to develop competing products or services.
- Circumvent rate limits, authentication, or access controls.
- Upload content that contains malware, viruses, or other malicious code.
- Use the Services to store, process, or transmit material that is unlawful, harassing, defamatory, obscene, or otherwise objectionable.
Third-party content. The Services allow you to connect third-party integrations (Atlassian, Freshdesk, Google Drive, Figma, AI providers, etc.). Your use of those integrations is governed by your agreement with the respective third parties. We are not responsible for third-party services or their availability.
3. Content and Intellectual Property
3.1 Your Content
“Your Content” means recordings, documents, prompts, designs, data, and any other materials you submit to or generate using the Services.
You retain all ownership rights in Your Content. By submitting Your Content to the Services, you grant Affixly a limited, non-exclusive, royalty-free licence to process, store, copy, and transmit Your Content solely as necessary to operate and deliver the Services to you.
We do not claim ownership of Your Content and do not use it to train AI models. Content submitted to third-party AI subprocessors (Anthropic, OpenAI) is subject to those providers’ API data usage policies.
Your responsibility. You are solely responsible for Your Content. You represent and warrant that:
- You own or have all necessary rights to submit Your Content to the Services.
- Your Content does not infringe any third-party intellectual property rights, violate any law, or breach any contractual obligation.
- Your Content does not contain personal information about third parties unless you have a lawful basis to process and share it.
Video and audio recordings (Affixly Flow). Screen recordings you upload may capture content belonging to third parties — software interfaces, documents, other people’s voices. You are responsible for ensuring you have the right to record and process such content, and for complying with any applicable consent requirements under applicable law.
3.2 AI-Generated Outputs
The Services use AI models to generate documentation, 3D geometry code, and other outputs (“Generated Outputs”) based on Your Content. You own the Generated Outputs to the extent permitted by applicable law, subject to restrictions that may apply to AI-generated content in your jurisdiction. We make no representations about the originality, accuracy, fitness for purpose, or intellectual property status of Generated Outputs. Use them at your own discretion.
3.3 Affixly’s Intellectual Property
All rights in and to the Services — including software, designs, trademarks, and documentation — are owned by Affixly or its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, logos, or other brand elements.
4. Product-Specific Terms
4.1 Affixly Flow
Whisper transcription. Audio transcription uses OpenAI’s Whisper model, which runs locally within our infrastructure. Audio content is not sent externally for transcription.
Publishing integrations. When you publish to Freshdesk, Confluence, or Affixly Sites, content is transmitted to those platforms on your behalf. You are responsible for compliance with those platforms’ terms and for the accuracy of published content.
Storage. Video files and generated GIFs are stored in Cloudflare R2. Storage is subject to our retention policy. We do not guarantee indefinite retention of large media files beyond the retention period in our Privacy Policy.
4.2 Affixly Surge
API key custody. Surge stores admin-level or organisation-level API keys for third-party AI providers (e.g., OpenAI, Anthropic) on your behalf, encrypted at rest. These keys are used exclusively to retrieve usage and billing data as directed by you.
Your responsibility for stored keys. You are solely responsible for: (a) the validity and permissions of the keys you store; (b) ensuring you are authorised to provide those keys to Affixly; (c) rotating or revoking keys from your Surge dashboard when they are no longer needed or may be compromised. Affixly is not responsible for costs, actions, or access that result from compromised keys.
Spend data accuracy. Usage and cost data displayed in Surge is retrieved from third-party provider APIs and is provided for informational purposes. Affixly makes no guarantee that this data is complete, accurate, or consistent with what those providers bill you. Always verify spend with your provider’s billing console.
SDK ingest. If you use the Surge SDK to send usage events, you are responsible for ensuring that event data is accurate and does not include personal information, API keys, prompts, or completions.
No financial or legal advice. Spend data and alerts provided by Surge do not constitute financial, accounting, or legal advice.
4.3 Affixly Forge
No account required. Forge does not require an account to use. Conversation history and model geometry are retained only for the duration of your browser session unless you are signed in to an Affixly account.
STL output. Generated STL files are provided as-is. You are responsible for validating 3D geometry for fit, tolerance, and safety before printing or manufacturing. Affixly makes no warranties about dimensional accuracy, structural integrity, or fitness for any particular application.
Experimental nature. AI-generated CAD code may produce geometry that is not manifold, not printable, or not as described. Always preview geometry before exporting. Forge is a productivity tool for hobbyists and makers, not a precision engineering tool.
4.4 Affixly Sites
Tenant responsibility. If you operate a hosted documentation site, you are the “publisher” of that site. You are responsible for: (a) the accuracy and legality of content published to your site; (b) managing visitor access appropriately; (c) ensuring you are authorised to share the content with your intended audience.
Visitor data. When you enable private sites, you collect email addresses from your visitors. You are responsible for having a lawful basis to collect and process those email addresses and for any privacy disclosures required by law. Affixly processes visitor email addresses solely on your behalf as a data processor.
Availability. Hosted Sites availability depends on Railway infrastructure and Cloudflare DNS. We do not guarantee 100% uptime. Sites with status='paused' are taken offline at your request or Affixly’s discretion.
Subdomain use. Sites are hosted at <slug>.sites.affixly.ai by default. You may use a custom domain. You are responsible for maintaining the DNS configuration for your custom domain and ensuring it does not infringe third-party domain or trademark rights.
5. Payment and Billing
Where a paid plan applies to your use of the Services, the following terms govern.
Fees. You agree to pay all fees as described on the applicable product’s pricing page or in your order. Fees are in USD unless stated otherwise.
Billing. Fees are billed in advance on the billing cycle you select (monthly or annual). We use Stripe for payment processing. By providing payment information, you authorise Affixly to charge you the applicable fees.
No refunds. Fees are non-refundable except where required by law or at Affixly’s sole discretion.
Suspension for non-payment. We may suspend access to your workspace if payment is overdue. We will give reasonable notice before suspension.
Taxes. You are responsible for any applicable taxes, duties, or levies imposed on the Services in your jurisdiction.
6. Service Levels and Availability
We aim to provide reliable, available Services but we do not guarantee any specific uptime. The Services are provided “as is” and “as available”. We may perform maintenance, upgrades, or emergency fixes that temporarily affect availability. We will attempt to give advance notice of planned maintenance where feasible.
7. Termination
By you. You may stop using the Services at any time. To close your account, contact support@affixly.ai.
By Affixly. We may suspend or terminate your access to the Services at any time, with or without notice, for:
- Breach of these Terms.
- Non-payment of fees.
- Conduct that poses a risk to the Services, other users, or third parties.
- Legal obligation or government request.
Effect of termination. Upon termination, your right to use the Services ends immediately. We will retain your data for 90 days following termination to allow for account recovery, after which it will be deleted in accordance with our Privacy Policy. You are responsible for exporting Your Content before termination.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AI-GENERATED OUTPUTS — INCLUDING DOCUMENTATION, 3D GEOMETRY, AND OTHER CONTENT — ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF GENERATED OUTPUTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AFFIXLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL AFFIXLY’S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AFFIXLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Affixly and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in violation of these Terms.
- Your Content, including any claim that Your Content infringes a third party’s rights.
- Your breach of any representation or warranty in these Terms.
- Any action or inaction related to API keys, credentials, or data you provide to the Services.
11. Privacy
Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
If your use of the Services involves processing personal data of third parties (e.g., employees or customers captured in your screen recordings, or visitors of your hosted sites), you are the data controller for that data. Affixly processes such data as your data processor, acting on your instructions. If required by applicable law (including GDPR), a data processing agreement is available upon request at privacy@affixly.ai.
12. Feedback
If you provide Affixly with feedback, suggestions, or ideas about the Services (“Feedback”), you grant Affixly a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, incorporate, and otherwise exploit that Feedback in connection with our products and services, without any obligation to you.
13. Changes to These Terms
We may revise these Terms from time to time. We will give at least 14 days’ advance notice of material changes by posting a notice in the application or emailing the address on your account. Continued use of the Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, stop using the Services and close your account.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada. You waive any objection to such courts on grounds of inconvenient forum or otherwise.
15. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any order forms or written agreements, constitute the entire agreement between you and Affixly regarding the Services.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver. Failure by Affixly to enforce any right under these Terms does not constitute a waiver of that right.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Affixly may assign these Terms in connection with a merger, acquisition, or sale of assets.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Force majeure. Affixly is not liable for delays or failures in performance resulting from causes beyond our reasonable control, including internet outages, third-party service failures, natural disasters, or government actions.
Language. The authoritative version of these Terms is in English. Any translated version is provided for convenience only.
